- "User" refers to any individual or entity that registers for and uses the Service
- "Service" refers to all features and functionalities provided by DEMFACT
- "Company" refers to a business entity registered by the User within the platform
- "Invoice" refers to any invoice document created through the Service
2. Acceptance of Terms
By accessing or using DEMFACT, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use the Service.
We reserve the right to modify these terms at any time. Continued use of the Service after changes constitutes acceptance of the modified terms.
3. Account Registration and Security
3.1 Account Creation
To use DEMFACT, you must create an account by providing accurate and complete information. You may register using:
- Email address and password (email verification required)
- Google OAuth authentication
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Using strong passwords and enabling two-factor authentication when available
3.3 Account Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts. If registering on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
4. Company Registration and VAT Compliance
4.1 Legal Declaration
When registering a company on DEMFACT, you must confirm that:
- You are the legal representative or an authorized person acting on behalf of the company
- All information provided is accurate and complete
- You have the authority to use the VAT number and company details provided
4.2 VAT Number Verification
DEMFACT validates VAT numbers against the EU VIES (VAT Information Exchange System) database. By using the Service, you:
- Authorize DEMFACT to verify your VAT number with VIES
- Agree to provide accurate company information matching official records
- Understand that VAT validation is required to create invoices
4.3 Fraud Prevention
Important: Providing false company information or using a VAT number without authorization constitutes fraud under Belgian law (Article 196 of the Criminal Code) and may result in:
- Immediate account suspension
- Reporting to relevant authorities
- Legal prosecution
- Civil liability for damages
5. Service Description
5.1 Features
DEMFACT provides:
- Company profile management
- Client database management
- Invoice creation and management
- PDF invoice generation
- PEPPOL e-invoicing integration
- Payment tracking
- VAT validation services
5.2 Service Availability
While we strive for 99.9% uptime, we do not guarantee uninterrupted service. The Service may be temporarily unavailable due to:
- Scheduled maintenance
- Emergency repairs
- Force majeure events
- Third-party service disruptions (VIES, payment processors, etc.)
6. User Responsibilities
6.1 Lawful Use
You agree to use DEMFACT only for lawful purposes and in compliance with:
- Belgian accounting and tax regulations
- EU VAT directives
- GDPR and data protection laws
- All applicable local, national, and international laws
6.2 Invoice Accuracy
You are solely responsible for:
- The accuracy and completeness of all invoices created
- Compliance with Belgian invoicing requirements
- Proper VAT calculations and declarations
- Maintaining proper accounting records
6.3 Prohibited Activities
You may not:
- Use the Service for fraudulent activities
- Create invoices for illegal goods or services
- Attempt to circumvent security measures
- Share account credentials with unauthorized parties
- Use automated systems to access the Service without permission
- Reverse engineer or copy the Service
7. Payments and Billing
7.1 Subscription Plans
DEMFACT offers various subscription plans. By subscribing, you agree to:
- Pay all applicable fees
- Provide accurate billing information
- Authorize recurring charges if applicable
7.2 Payment Processing
Payments are processed securely through Stripe. DEMFACT does not store complete credit card information.
7.3 Refund Policy
Subscription fees are non-refundable except as required by law. You may cancel your subscription at any time, and your access will continue until the end of the current billing period.
8. Intellectual Property
8.1 DEMFACT Property
All rights, title, and interest in the Service, including software, designs, trademarks, and content, are owned by DEMFACT. You are granted a limited, non-exclusive license to use the Service.
8.2 User Content
You retain ownership of data you upload to DEMFACT. By using the Service, you grant DEMFACT a limited license to process and store your data as necessary to provide the Service.

10. PEPPOL E-Invoicing Service
10.1 Third-Party Service Provider
Our e-invoicing service is powered by Maventa (Visma Solutions Oy), a PEPPOL Access Point based in Finland. By using the e-invoicing features of DEMFACT, you also agree to Maventa's Terms of Service, available at:

10.2 Company Verification
Before sending or receiving e-invoices via PEPPOL, your company must be verified through Visma Sign (electronic signature). The company owner will receive a verification email and must complete the electronic signing process. The verification invitation expires after 7 days and can be resent.
10.3 PEPPOL Network
E-invoices are transmitted over the PEPPOL network in BIS Billing 3.0 (UBL 2.1) format. DEMFACT is not responsible for delivery failures caused by incorrect recipient PEPPOL IDs, network outages, or recipient Access Point issues.
11. Limitation of Liability
11.1 Service Disclaimer
DEMFACT is provided "as is" without warranties of any kind, express or implied. We do not warrant that:
- The Service will meet all your requirements
- The Service will be uninterrupted or error-free
- Results obtained will be accurate or reliable
11.2 Liability Limits
To the maximum extent permitted by law:
- DEMFACT shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
- We are not responsible for errors in invoices created by users
- We are not responsible for tax or VAT calculation errors by users
11.3 Third-Party Services
DEMFACT integrates with third-party services (VIES, Stripe, Maventa/PEPPOL). We are not responsible for:
- Outages or errors in third-party services
- Changes to third-party service terms
- Data processed by third-party services
12. Indemnification
You agree to indemnify and hold harmless DEMFACT, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of the Service
- Your violation of these terms
- Your violation of any law or third-party rights
- Fraudulent or unauthorized use of company information
13. Termination
13.1 By User
You may terminate your account at any time by contacting support. Upon termination:
- Your access to the Service will end
- Your data will be retained for the legally required period
- You may request data export before termination
13.2 By DEMFACT
We may suspend or terminate your account if you:
- Violate these terms
- Engage in fraudulent activity
- Fail to pay subscription fees
- Are inactive for an extended period
14. Governing Law and Disputes
14.1 Governing Law
These terms are governed by Belgian law. Any disputes shall be subject to the exclusive jurisdiction of the courts of Belgium.

Before initiating legal proceedings, parties agree to attempt resolution through:
